Options granted under the shareholder approved GVC Holdings PLC 2015 Long Term Incentive Plan (“2015 LTIP”) to Kenneth Alexander, Richard Cooper and Lee Feldman (the “Directors”) have begun to vest in accordance with the vesting schedules applying to their options.   In accordance with the terms of the 2015 LTIP, the Remuneration Committee has exercised its discretion to make a cash alternative payment to the Directors in respect of that portion of the shares that have vested to date and over which the Directors had notified their intention to exercise their options. The cash alternative payment was calculated by deducting the option price from the market value of a share on the day prior to the date that the Company received notices of exercises from the Directors (being 15 December 2016) and multiplying this amount by the number of vested shares.

Where a cash alternative payment is made, the right to receive shares lapses automatically. The Directors’ options over the following shares in the Company have therefore lapsed:

Kenneth Alexander – 1,955,128 shares at an option price of £4.22 per share
Richard Cooper – 977,564 shares at an option price of £4.22 per share
Lee Feldman – 977,564 shares at an option price of £4.67 per share

The Directors’ personal shareholding in the Company remains unchanged at:
